Accredited vs. Non-Accredited Investors

Under SEC Rule 506(c).


Accredited investor means you meet one or more of the following:

  • Individual income over $200,000 in each of the past two years (or $300,000 with spouse/spousal equivalent) and expectation of the same this year.
  • Net worth over $1,000,000, excluding your primary residence.
  • Active Series 7, Series 65, or Series 82 securities license.


Non-accredited investors are not eligible at this time. Future offerings may be structured under different exemptions that could allow broader participation.

Minimum Investment Requirements


The minimum investment amount for participation in most offerings is $50,000 per investor.

Quarterly Updates:

Written reports on project status, financial performance, market conditions, and milestones achieved.

Annual Reports:

Full-year financials, including income statement, balance sheet, and cash flow statement.

Distribution Notices:

Prior to any investor distributions, we provide a breakdown of the payment, calculation method, and updated capital account balances.

Investor Portal:

All documents, reports, and communications will be accessible online in a secure dashboard.

What is a real estate syndication?

Syndication is a partnership where multiple investors pool their capital to purchase, develop, and operate real estate assets, with a sponsor (Primario Capital) managing the project on behalf of the group.

How risky is this investment?

All real estate investments involve risk, including possible loss of principal. While we mitigate risks through careful underwriting, experienced management, and diversified strategies, there are no guarantees.

When will I start receiving returns?

For development projects, cash flow distributions generally begin after the project reaches stabilization (often 18–24 months from acquisition). Sales proceeds or refinance events may occur earlier or later depending on market conditions.

Can I sell my investment?

Interests in the Project LLC are not publicly traded and are subject to transfer restrictions outlined in the Operating Agreement. You should be prepared to hold your investment for the full term.

What happens if the market changes?

We continuously monitor market trends and may adjust project timelines, leasing strategies, or exit plans to protect investor capital and optimize returns.
